Terms and Conditions for Entruck Booking Private Limited

Welcome to Entruck Booking Private Limited ("we," "us," "our," or "the Company"). We operate a technology platform, available via our website at www.entruck.in and our mobile application (collectively, the "Platform"), that connects individuals or companies seeking to ship goods ("Shippers") with independent truck owners, drivers, or transportation companies ("Transporters") who provide transportation services.

By registering for, accessing, or using our Platform, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you must not use our Platform.

1. Definitions

  • Platform: The technology service provided by Entruck Booking Private Limited via its website and mobile app.
  • User: Any person who registers and uses the Platform, including Shippers and Transporters.
  • Shipper: An individual or legal entity that registers on the Platform to book transportation services for their goods.
  • Transporter: An individual or legal entity that owns/operates commercial vehicles and registers on the Platform to offer transportation services by posting their available routes and prices.
  • Services: The suite of services offered by the Platform, including facilitating the connection between Shippers and Transporters, booking management, and payment processing.
  • Booking: A confirmed agreement between a Shipper and a Transporter for a specific transportation service arranged via the Platform.
  • Goods: The cargo, freight, or items that a Shipper intends to transport.
  • Listed Price: The price quoted by the Transporter for a specific route and service, exclusive of taxes and any Platform fees.

2. The Role of the Platform

2.1. A Neutral Venue:

Our Platform is a neutral technology-driven marketplace. We are NOT a transportation carrier, freight forwarder, logistics broker, or shipping agent. Our role is strictly limited to facilitating the connection between Shippers and Transporters.

2.2. No Endorsement:

We do not endorse, guarantee, or control the quality, safety, or legality of the services offered by Transporters or the Goods shipped by Shippers. The contract for transportation is a separate, direct agreement between the Shipper and the Transporter.

2.3. Verification:

While we may perform basic verification checks on Users (e.g., mobile number, KYC documents like Aadhar, PAN, Vehicle RC, Driving License), we do not guarantee the identity, creditworthiness, or reliability of any User. Users are encouraged to exercise their own due diligence.

3. User Accounts and Obligations

3.1. Eligibility:

You must be at least 18 years old and capable of entering into legally binding contracts to use our Platform.

3.2. Registration:

You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate. You are responsible for all activities that occur under your account and for safeguarding your password.

3.3. Prohibited Use:

You may not use the Platform for any illegal or unauthorized purpose, including but not limited to shipping contraband, hazardous materials not declared properly, or any items prohibited by law.

4. Obligations of the Transporter

The Transporter represents and warrants that they:

  • Are Legally Authorized: Possess all necessary licenses, permits, and certifications required to operate their vehicle and transport goods commercially in all relevant jurisdictions (e.g., National Permit, Fitness Certificate, PUC).
  • Hold Valid Insurance: Maintain valid and adequate insurance policies, including "Goods in Transit" insurance, third-party liability insurance, and comprehensive vehicle insurance. Proof of insurance must be provided upon request.
  • Provide Accurate Information: Will post routes, vehicle details (type, capacity), availability, and prices accurately. The Listed Price is binding once a Booking is confirmed.
  • Perform Professionally: Will perform the transportation service with due care, skill, and diligence, ensuring the safety and security of the Goods from pickup to delivery.
  • Adhere to Timelines: Will make all reasonable efforts to adhere to the agreed-upon pickup and delivery schedules.
  • Are Solely Responsible: Are solely responsible for their vehicle, driver(s), fuel, maintenance, tolls, taxes, and all other operational costs.

5. Obligations of the Shipper

The Shipper represents and warrants that they:

  • Have Authority: Have the legal right and authority to ship the Goods.
  • Provide Accurate Information: Will provide accurate details about the Goods (nature, weight, dimensions), pickup/delivery addresses, and contact persons.
  • Ensure Proper Packaging: Are responsible for ensuring the Goods are properly and securely packaged for transport to withstand normal road transit conditions.
  • Disclose Hazardous Materials: Will accurately declare any hazardous or special-care materials in accordance with applicable laws. Failure to do so may result in booking cancellation and potential legal liability.
  • Ensure Accessibility: Will ensure that the pickup and delivery locations are accessible to the Transporter's vehicle.

6. Booking, Payments, and Fees

6.1. Booking Process:

A Shipper can book a truck by accepting the Transporter's Listed Price for a specific route. A Booking is confirmed only when the Shipper completes the required payment steps on the Platform.

6.2. Payment Flow:

a. The Shipper pays the total amount (Listed Price + Platform Fee + applicable taxes like GST) to the Platform upon confirming a Booking.
b. The Platform holds this amount in an escrow-like arrangement.
c. Upon successful delivery of the Goods, confirmed by the Shipper (e.g., via OTP verification or digital proof of delivery), the Platform will release the payment to the Transporter after deducting the applicable Platform Commission.

6.3. Platform Fees:

We may charge a service fee ("Platform Fee" or "Commission") for the use of our Services. This fee will be clearly displayed to the User before any payment is made. We reserve the right to change our fee structure at any time.

6.4. Taxes:

All fees and prices are subject to applicable taxes, including but not limited to Goods and Services Tax (GST), which will be borne by the relevant User as per law.

7. Cancellation and Refunds

7.1. Cancellation by Shipper:

  • Full Refund: If cancelled more than 24 hours before the scheduled pickup time.
  • Partial Refund: A cancellation fee may apply if cancelled within 24 hours of the pickup time.
  • No Refund: No refund may be provided if the cancellation occurs after the truck has been dispatched for pickup.

7.2. Cancellation by Transporter:

If a Transporter cancels a confirmed Booking, they may be subject to penalties, including a negative rating or temporary/permanent suspension from the Platform. The Platform will make reasonable efforts to find an alternative Transporter for the Shipper or provide a full refund.

*Specific cancellation fee amounts and policies will be detailed on the Platform at the time of booking.

8. Liability and Disclaimers

8.1. Limitation of Our Liability:

To the fullest extent permitted by law, Entruck Booking Private Limited shall not be liable for any direct, indirect, incidental, or consequential damages, including but not limited to:

  • Loss or damage to Goods during transit.
  • Delays in pickup or delivery.
  • Disputes, acts, or omissions of any User (Shipper or Transporter).
  • Personal injury or property damage arising from the transportation service.

8.2. Indemnity:

You agree to indemnify and hold Entruck Booking Private Limited and its affiliates, officers, directors, and employees harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your breach of these Terms, your improper use of the Platform, or your violation of any law or the rights of a third party.

9. Insurance

The responsibility to insure the Goods rests with the Shipper and the Transporter. The Transporter is required to maintain "Goods in Transit" insurance. Shippers are advised to review the Transporter's insurance coverage and, if deemed insufficient, to procure their own insurance for the Goods. The Platform does not provide any insurance services.

10. Dispute Resolution

Any disputes arising between a Shipper and a Transporter should be resolved directly between them. Entruck Booking Private Limited may, at its sole discretion, provide a mediation platform or support to help resolve disputes but has no obligation to do so.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in Ahmedabad, Gujarat, India.

12. General Provisions

  • Modification of Terms: We reserve the right to modify these Terms at any time. We will provide notice of any significant changes. Your continued use of the Platform after such changes constitutes your acceptance of the new Terms.
  • Privacy: Your use of the Platform is also governed by our Privacy Policy, which is incorporated by reference into these Terms.
  • Severability: If any provision of these Terms is found to be invalid or unenforceable, that provision will be severed, and the remaining provisions will remain in full force and effect.
